You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit the use of this website by any third party.
We reserve the right to restrict or terminate access to the website at our discretion.
 
2. Products and Services
Innovation Packing Group LLC supplies packaging materials, including but not limited to flexible films, industrial packaging products, and related items.
All product descriptions, specifications, and availability are subject to change without notice.
We reserve the right to modify or discontinue any product at any time.
 
3. Quotes and Pricing

• All quotes are non-binding unless expressly stated otherwise in writing

• Pricing is subject to change due to raw material costs, market conditions, and availability

• Quotes are valid only for the period specified (if no period is stated, validity is limited and subject to change without notice)

• Final pricing is confirmed only upon order acceptance
   

4. Orders and Acceptance

• All orders are subject to acceptance by the Company

• We reserve the right to reject or cancel any order at our discretion

• Orders may not be modified or canceled once production or processing has begun
   

5. Payment Terms, Late Fees, Collections, and Credit Terms
5.1 Payment Terms

• Payment terms shall be as stated on each invoice or as otherwise agreed in writing

• All payments must be made in U.S. Dollars unless otherwise specified

• The Company reserves the right to modify or revoke credit terms at any time at its sole discretion
   

5.2 Late Payments

• Any past due balance may, at the Company’s discretion, accrue a late fee of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is lower

• Late fees shall accrue from the date payment becomes overdue until paid in full
   

5.3 Suspension of Credit and Shipments

• The Company reserves the right to suspend or cancel production, shipments, and open orders if any invoice becomes past due

• The Company may require prepayment or additional assurances before resuming services
   

5.4 Acceleration

• In the event of default, the Company reserves the right to declare all outstanding invoices immediately due and payable, without further notice
   

5.5 Collections and Recovery Costs

• Customer agrees to pay all costs incurred by the Company in collecting overdue amounts, including but not limited to:

  • Collection agency fees

  • Reasonable attorneys’ fees

  • Court costs and related expenses
     

5.6 Credit Reporting

• The Company reserves the right to report delinquent accounts to commercial credit reporting agencies and take any lawful actions necessary to recover unpaid balances
  
   

5.7 Security Interest (UCC Protection)

• Until full payment is received, the Company retains a security interest in all goods sold, and the Customer grants the Company a purchase money security interest (PMSI) in such goods and any proceeds thereof

• Customer agrees to execute any documents necessary for the Company to perfect its interest under the Uniform Commercial Code
   

5.8 Personal Guarantee (if applicable)

• For accounts extended credit, the Company may require a personal guarantee from the owner(s) or principal(s) of the Customer

• By providing such guarantee, the guarantor agrees to be personally liable for all amounts owed in the event of non-payment
   

6. Shipping and Delivery

• Delivery dates are estimates only and are not guaranteed

• The Company is not liable for delays caused by carriers, supply chain disruptions, or force majeure events

• Risk of loss or damage transfers to the buyer upon shipment unless otherwise agreed in writing
   

7. Returns and Claims

• All claims for defective or non-conforming products must be made within a reasonable time after delivery

• Products must not be used, altered, or processed prior to inspection if a claim is to be made

• Returns require prior written authorization from the Company

• The Company reserves the right to inspect and determine the validity of any claim
   

8. Product Use and Disclaimer

• The buyer is responsible for determining the suitability of products for their intended application

• No guarantee is made that products will perform in all environments or applications

• Testing and validation are the responsibility of the buyer
   

9. Limitation of Liability To the fullest extent permitted by law:

• The Company shall not be liable for indirect, incidental, or consequential damages

• Liability is limited to the purchase price of the goods supplied

• The Company is not responsible for loss of profits, business interruption, or downstream damages
   

10. Intellectual Property
All content on this website, including text, graphics, logos, product names, designs, and branding elements, is the property of Innovation Packing Group LLC and is protected by applicable intellectual property laws.
SIMPLIG® is a registered trademark of Innovation Packing Group LLC.
“Innovation Packing Group” and related branding elements may also be trademarks or trade names of the Company.
Unauthorized use, reproduction, or distribution is strictly prohibited.
 
11. Force Majeure
The Company shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to:

• Natural disasters

• War or civil unrest

• Labor shortages

• Supply chain disruptions

• Raw material shortages
   

12. Governing Law
These Terms shall be governed and interpreted in accordance with the laws of the State of Florida, without regard to conflict of law principles.
 
13. Changes to Terms
We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting on this website.
Continued use of the website or services constitutes acceptance of the revised Terms.
